Terms of Service & End User License Agreement (EULA)

This document constitutes a legally binding agreement between you (the “Licensee”, “User”, or “Customer”) and Mike Georgiades trading as MG Music (“we”, “us”, “our”, or “Licensor”) governing:
1. Your use of our website (mg-music.net) and portfolio.
2. Your purchase of any virtual instruments, sample libraries, or digital products (collectively, the “Products”).
3. Your legal license to use the sounds contained within those Products.
By visiting our site, purchasing, downloading, or using our Products, you agree to be bound by these Terms of Service and End User License Agreement (collectively, the “Terms”). If you do not agree, please do not use this website or our Products.

PART 1: WEBSITE & PURCHASE TERMS (Terms of Service)
1. The Paddle Relationship (Merchant of Record)
We do not process payments directly. Our order process is conducted and facilitated by our online reseller and Merchant of Record, Paddle.com.
* You acknowledge that Paddle is the Merchant of Record and authorized reseller of all Products purchased on this site.
* Your payment transaction, billing, invoicing, and local tax (VAT/GST/Sales Tax) calculation are subject to Paddle’s Checkout Buyer Terms.
* If you require support regarding payment processing, card declines, or transaction issues, you may contact Paddle directly or reach out to us to coordinate with them.
2. System Compatibility & Requirements
* It is your sole responsibility to ensure that your computer system, operating system, and version of Native Instruments Kontakt meet the minimum technical requirements clearly stated on each Product’s store page.
* Some of our Products require the full retail version of Native Instruments Kontakt to run. We are not responsible, and cannot offer refunds, for purchases made for incompatible systems or because you do not own the required version of Kontakt.
3. Refund Policy
Because our Products are delivered digitally via download, all sales are final once the download link has been generated or accessed. In accordance with UK and EU consumer protection laws, by downloading or initiating the download of a Product, you request immediate performance of the contract and waive your statutory 14-day right of withdrawal (refund). If you experience a technical defect with the files, please contact us at mike@mg-music.net, and we will work to resolve the issue.

PART 2: SOFTWARE LICENSE AGREEMENT (EULA)
This is a license agreement, not a sales agreement. MG Music retains full ownership of all underlying audio recordings, software scripts, and user interface designs within the Products.
1. License Grant
Upon a valid purchase through our Merchant of Record, you are granted a non-exclusive, non-transferable, perpetual, worldwide license to use the sounds and software in your own musical compositions and audio projects.
* This includes commercial projects such as film scores, television broadcasts, video game soundtracks, streaming media, advertisements, and public performances.
* You may only use these sounds within your own newly-created musical works or sound designs in a manner where they are combined with other sounds or musical elements, rendering the content substantially dissimilar to the original raw sample file.
2. Prohibited Uses
* No Redistribution: You may not resell, re-license, copy, duplicate, or redistribute the raw samples, patches, presets, or software components as standalone files, nor as part of another sample library, virtual instrument, sound effects pack, or competitive product.
* No AI Training: You shall not use any audio content, software components, or musical outputs from our Products for the purposes of training, developing, or testing artificial intelligence, machine learning, deep learning, data mining, or generative audio technologies.
* Single-User License: This license is granted to a single individual. You may install the Product on up to two (2) computers that you personally own and operate (e.g., your main studio desktop and your mobile laptop), provided they are not used simultaneously by different people. Multi-user or multi-seat licenses must be negotiated separately.
* No Reverse Engineering: You may not deconstruct, reverse engineer, hack, or decrypt the software, scripts, or NCW/WAV audio containers.

PART 3: LEGAL PROVISIONS
1. Termination
This agreement is effective until terminated. Any breach of these terms will result in the immediate and automatic termination of your license without refund. Upon termination, you must destroy all copies of the Products in your possession.
2. Limitation of Liability
The Products and website are provided on an “as is” and “as available” basis without warranties of any kind. To the maximum extent permitted by law, MG Music shall not be liable for any direct, indirect, special, incidental, or consequential damages (including, but not limited to, loss of data, system crashes, DAW crashes, or loss of business profits) arising out of the use of or inability to use the website or the Products.
3. Governing Law
These Terms, and any separate agreements whereby we provide you Services or Products, shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
